Terms of Service

By creating an account, accessing, or using the TractIt platform, website, or any of its features (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. Your use of the Service is also subject to our Privacy Policy, which is incorporated herein by reference.

TractIt is an AI-powered platform designed for real estate predevelopment. The Service provides tools for document drafting, AI-assisted document review, redlining, e-signatures, virtual data rooms, critical date tracking, stakeholder and contact management, deal inbox processing, and cloud document import from connected third-party storage providers.

The Service is intended for business use by real estate developers, sponsors, investors, lenders, brokers, attorneys, and related professionals. You must be at least 18 years of age and have the legal authority to enter into a binding agreement to use the Service.

TractIt is not a law firm and does not provide legal advice, legal opinions, or legal representation. The documents, drafts, analyses, redlines, summaries, and other content generated by the Service (collectively, "AI Output") are provided for informational and productivity purposes only.

AI Output may be incomplete, inaccurate, or unsuitable for your particular transaction or jurisdiction. Nothing generated by the Service creates an attorney-client relationship between you and TractIt or any of its affiliates. You remain solely responsible for reviewing, verifying, and approving all AI Output before relying on it, executing any document, or taking any action based on it. We strongly recommend that you consult a licensed attorney familiar with your specific transaction before executing any agreement.

a. Account Registration

You must provide accurate, current, and complete information when registering for an account and must keep that information up to date. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

b. Authority and Ownership

You represent and warrant that you have the legal right and authority to upload, submit, or import any documents, files, or content to the Service, and that your use of such content complies with all applicable confidentiality, proprietary, intellectual property, and contractual obligations. You are solely responsible for ensuring that you have the right to share, process, and store any documents through the Service.

c. Acceptable Use

You agree not to: (i) use the Service for any unlawful purpose; (ii) upload content that infringes the intellectual property or confidentiality rights of any third party; (iii) attempt to gain unauthorized access to any portion of the Service, other accounts, or the systems or networks on which the Service is hosted; (iv) interfere with or disrupt the Service or servers; or (v) reverse engineer, decompile, or disassemble any component of the Service.

You retain all right, title, and interest in and to the documents, files, data, and other content you upload or create through the Service ("Your Content"). You grant TractIt a limited license to access, process, and store Your Content solely as necessary to provide the Service to you, including operating AI-assisted review, drafting, classification, date extraction, and related features.

Your Content is processed through third-party AI model providers (including Anthropic) for the purpose of generating AI Output. Your Content is never used to train any AI model, ours or any third party's. You may permanently delete any document and its associated data at any time from within the Service, and such deletion is irreversible.

The Service is offered on a subscription basis with plans and pricing published on our website. Subscriptions are billed in advance on a recurring basis (monthly or annually, depending on your plan). All fees are non-refundable except as required by applicable law.

Each plan includes a specified number of active deals. Deals in the "Deal" stage count against your plan's active deal limit; deals moved to "Closed" or "Lost" remain viewable and downloadable indefinitely without counting against your limit. AI features (document review, drafting, redlining, date extraction, e-signatures, data rooms) operate only on deals in the Deal stage. If your plan is downgraded, deals exceeding your new limit become read-only until you upgrade or move them to Closed or Lost.

You can manage your subscription, upgrade, downgrade, or cancel at any time through your account settings. Cancellation takes effect at the end of your current billing period.

The Service may integrate with third-party applications and services, including cloud storage providers (Google Drive, Dropbox, Microsoft OneDrive and SharePoint), email providers, electronic signature providers, and payment processors. When you connect a third-party service, you do so under that provider's own terms and privacy policy.

For cloud import integrations, the Service requests only the minimum permissions necessary to access the files you explicitly select. Per-user OAuth connections are used so that the Service never has access to files or folders you have not chosen. Tokens are stored securely and never exposed to the browser.

The Service, including its software, design, text, templates, graphics, logos, and interfaces, is owned by TractIt Labs LLC and is protected by United States and international intellectual property laws. The institutional templates, document structures, and classification systems provided through the Service are proprietary to TractIt.

You may use AI Output and documents generated through the Service for your own business purposes. You may not resell, sublicense, redistribute, or otherwise commercialize the Service or any of its components without our prior written consent.

a. Service Provided "As Is"

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, TractIt Labs LLC disclaims all warranties, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy or reliability of AI Output.

b. Limitation of Liability

To the maximum extent permitted by law, TractIt Labs LLC, its officers, directors, employees, affiliates, agents, and suppliers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business opportunity, arising out of or in connection with your use of, or inability to use, the Service — whether based on warranty, contract, tort (including negligence), or any other legal theory — even if we have been advised of the possibility of such damages.

c. Professional Reliance

AI Output is generated by machine learning models and may contain errors, omissions, or outdated information. You must exercise your own professional judgment and consult qualified professionals before acting on any AI Output. TractIt is a productivity tool, not a replacement for professional legal, financial, or tax advice.

You agree to indemnify, defend, and hold harmless TractIt Labs LLC, its officers, directors, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (i) Your Content or your use of the Service; (ii) your violation of these Terms; (iii) your violation of any third-party rights, including intellectual property, confidentiality, or contractual rights; or (iv) your reliance on AI Output without appropriate professional review.

We implement industry-standard security measures to protect Your Content, including encryption in transit (TLS) and at rest, and logical data isolation so that no other user can access your documents, reviews, or deal data. Your documents are processed through Anthropic's commercial API under a zero-data-retention configuration.

You may export your data at any time through your account settings and may permanently delete your account and all associated data in a single step. For details, see our Privacy Policy and Security page.

These Terms are effective from the date you first access the Service and remain in effect until terminated. You may stop using the Service at any time. We may suspend or terminate your access to the Service at any time, with or without cause or notice, including if we believe you have violated these Terms.

Upon termination, your right to use the Service ceases immediately. Your data will be retained so you can re-subscribe and resume where you left off, but you may permanently delete any or all of your data at any time before or after termination.

We may modify these Terms from time to time. If we make material changes, we will notify you by email or through the Service. The updated Terms will be effective upon posting or on the effective date stated in the notice. Your continued use of the Service after the effective date constitutes your acceptance of the revised Terms.

These Terms are governed by the laws of the State of Illinois, without regard to its conflict of laws provisions. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Cook County, Illinois.

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. These Terms constitute the entire agreement between you and TractIt Labs LLC regarding the Service and supersede all prior agreements. You may not assign these Terms without our consent; we may assign them freely. No waiver of any provision will be deemed a continuing waiver.
